Item 8.01. Other Events.
On September 11, 2013, Umpqua Holdings Corporation (“Umpqua”) and Sterling Financial Corporation (“Sterling”) announced that they had entered into a definitive agreement, dated as of September 11, 2013, pursuant to which Sterling will merge with and into Umpqua (the “Merger”). A copy of the joint press release relating to the Merger is attached hereto as Exhibit 99.1. In addition, Umpqua and Sterling will be providing supplemental information regarding the Merger in connection with a presentation to analysts and investors. The slides to be used in connection with this analyst and investor presentation are attached hereto as Exhibit 99.2.
