Tanger Factory Outlet Centers Inc.’s Annual Meeting of Shareholders will be held on May 8, 2009 at
3200 Northline Avenue, Suite 360, Greensboro, NC, at 10:00 a.m. Eastern Time.
 
Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.
 
The Board of Directors recommends that you vote FOR the following proposals:

To ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2009.
