On February 28, 2008, Berkshire Hills Bancorp, Inc. (the "Company"),
the holding company for Berkshire Bank, amended Article I, Section 7 of the
Company's Bylaws to authorize stockholder voting via telephone, the Internet,
telegram, cablegram, or other means of electronic transmission. A copy of the
Company's Amended and Restated Bylaws is attached to this Report as Exhibit 3.1
and is incorporated herein by reference.
