Item 5.03.   Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On December 20, 2007, the Board of Directors of Voyager Learning Company (the “Company”) adopted a resolution changing the Company’s fiscal year end from the Saturday nearest to December 31 to a calendar year. The change will be effective for the fiscal year ending on December 31, 2008. The Company’s fiscal 2007 year end will be December 29, 2007. The two-day transition period between the 2007 annual fiscal year, which will end on December 29, 2007, and the 2008 annual fiscal year, which will begin on January 1, 2008 and end on December 31, 2008, will be included in the Company’s Annual Report on Form 10-K for the year ended December 31, 2008. The first report to be filed by the Company for the newly adopted fiscal year will be its Quarterly Report on Form 10-Q for the period ended March 31, 2008.
