State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
On August 11, 2009, the Registrant determined that, in accordance with FAS 141(R), an additional gain of $1.0 million (pre-tax) related to the FDIC-assisted acquisition should be retrospectively reported in the first quarter of 2009.  As a result, the Registrant is still in the process of completing the work necessary to finalize its financial statements as of June 30, 2009.

Based on the Registrant’s preliminary analysis, it anticipates reporting net income of $2.5 million for the quarter ended June 30, 2009, compared to net income of $6.3 million for the quarter ended June 30, 2008. The difference was primarily due to a $1.9 million increase in the provision for loan losses and a $1.7 million special FDIC insurance assessment.  In addition, it is anticipated that net income for the six months ended June 30, 2009 will be $22.4 million as compared to a loss of $8.8 million for the six months ended June 30, 2008.
