Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

On January 25, 2010, Michael Holmes, Executive Vice President of Express Scripts, Inc. (the “Company”), advised the Company that he plans to leave Express Scripts in order to lead a new charitable organization, as further described under Item 7.01 below. Mr. Holmes plans to remain with the Company for the near future while his successor is identified.

Item 7.01		Regulation FD Disclosure

On January 26, 2010, the Company announced plans to donate its RxOutreach business unit to a newly formed, independent charitable organization. The transaction will have no material impact on the Company’s results of operations or financial condition.
