Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
On May 5, 2010, Fentura Financial, Inc. (the Company) received a letter of resignation of
Kenneth R. Elston from the Companys board of directors and from the board of directors of The
State Bank as a result of Mr. Elstons relocation to the Philadelphia, Pennsylvania area and the
increased time demands with his position as Chief Financial Officer of 3SI Security Systems, Inc.
