SCHEDULE TO
This
Amendment No. 1 amends and supplements the tender offer statement on

Newell Rubbermaid Inc., a Delaware corporation, or the Company, to exchange shares of its Common
Stock, $1.00 par value per share, or Common Stock, a cash payment and cash in lieu of fractional
shares of Common Stock, if any, for any and all of its outstanding 5.50% Convertible Senior Notes
due 2014 (CUSIP No. 651229 AH9), or the Notes.
The
offer is made upon the terms and subject to the conditions
contained in the offer to exchange dated August 17, 2010 (as amended or supplemented hereby
and as may be further amended or supplemented from time to time, the Offer
to Exchange) and the related letter of transmittal, copies of which

on Rule 13e-4(c)(2) promulgated under the Securities Exchange Act of 1934, as amended.
The
information in the Offer to Exchange and the related letter of
transmittal is incorporated in this Amendment No. 1 to the tender
offer statement on Schedule TO in response to all the applicable
items in the Schedule TO, except that such information is hereby
amended and supplemented to the extent specifically referenced herein.
Item 4. Terms of the Transaction.
