ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL EXECUTIVE OFFICERS; ELECTION OF
DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS
(b) On April 18, 2006, Patricia M. Cloherty notified us of her decision to
resign from our board of directors, effective April 30, 2006. Ms. Cloherty
joined our board of directors in May 1998 following an equity investment by
funds managed by Patricof & Co. Ventures, Inc., of which she was co-chairman and
general partner of funds under management. Ms. Cloherty currently serves as
chairman and chief executive officer of Delta Private Equity Partners, LLC,
manager of the U.S. Russia Investment Fund and Delta Russia Fund, L.P, two
venture capital funds formed to invest in Russian companies.
