Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On November 5, 2007, Express Scripts, Inc. (the “Company”) announced that David A. Lowenberg will step down from his position as senior executive officer in charge of the Company’s specialty operations effective December 31, 2007. Mr. Lowenberg will remain with the Express Scripts organization until March 1, 2008 to assist with transition, integration and other special assignments.
