On August 20, 2004, the Registrant announced that on August 19, 2004, NBC Universal, Inc. filed a complaint against the Registrant in the Court of Chancery of the State of Delaware seeking a declaratory ruling regarding the terms of its investment in the Registrant. The Registrant has furnished the press release announcing these results as Exhibit 99.1 to this Form 8-K. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
