What Happened?

Shares of online used car auction platform ACV Auctions (NYSE: ACVA) jumped 43.5% in the morning session after Copart and ACV announced a definitive agreement under which Copart will acquire all outstanding shares of ACV for $10.50 per share in cash. According to a Form 8-K filed with the U.S. Securities and Exchange Commission, ACV entered into the Agreement and Plan of Merger with Copart and its wholly owned subsidiary, Apple Merger Sub, Inc., formalizing the terms of the buyout. The transaction represents an implied equity value of approximately $1.9 billion, delivering a premium of roughly 45% over ACV's unaffected closing stock price on August 10, 2026. The acquisition is designed to expand Copart's presence across the vehicle remarketing ecosystem, and shares of ACV rallied sharply to align with the proposed cash offer price.

After the initial pop, the shares cooled down to $10.43, up 0% from the previous close.

What Is The Market Telling Us

ACV Auctions’s shares are extremely volatile and have had 33 moves greater than 5% over the last year. But moves this big are rare even for ACV Auctions and indicate this news significantly impacted the market’s perception of the business.

The biggest move we wrote about over the last year was 10 months ago when the stock dropped 35% on the news that it reported disappointing third-quarter results and provided a weak financial outlook. The company posted a GAAP loss of $0.14 per share, double the $0.07 loss that analysts had expected. While third-quarter revenue of $199.6 million met Wall Street's expectations, growing 16.5% year-over-year, the company's guidance concerned investors. Management's forecast for the fourth quarter projects revenue of $182 million, which is nearly 5% below consensus estimates. Furthermore, the company's full-year EBITDA guidance of $57 million also fell significantly short of the $68.56 million that analysts had anticipated. The combination of the earnings miss and a weaker-than-expected forecast triggered the sharp sell-off.

ACV Auctions is up 25.8% since the beginning of the year, and at $10.43 per share, it has set a new 52-week high. Despite the year-to-date gain, investors who bought $1,000 worth of ACV Auctions’s shares 5 years ago would now be looking at only $541.00.

ONE MORE THING: The $21 AI Application Stock Wall Street Forgot. While Wall Street obsesses over who’s building AI, one company is already using it to print money. And nobody’s paying attention.

AI chip stocks trade at ridiculous valuations. This company processes a trillion consumer signals monthly using AI and trades at a third of the price. The gap won’t last. The institutions will figure it out. You need to see this first. Read the FREE Report Before They Notice.
