What Happened?

Shares of packaged foods company B&G Foods (NYSE: BGS) fell 2.6% in the afternoon session after the company and Nortera Foods terminated their asset purchase agreement to sell Green Giant Canada after failing to receive regulatory approval. According to a company press release, B&G Foods Canada and Nortera terminated the agreement on October 5, 2026. The deal, signed on October 24, 2025, covered the Green Giant and Le Sieur frozen and shelf-stable vegetable lines in Canada. Either side could walk away if approval under Canada’s Competition Act was not in hand by the September 24, 2026 outside date, and that approval never came. B&G will keep operating Green Giant Canada, Nortera will remain its primary co-manufacturer, and Nortera will pay B&G $1.6 million to cover the termination fee and part of B&G’s legal expenses.

The shares were trading at $2.48, down 3.3% from the previous close.

What Is The Market Telling Us
